NeuroDev Software as a Service Terms of Service

Introduction

This Terms of Service ("Agreement") governs your use of NeuroDev's software as a service product, including all features and functionality provided through the NeuroDev website and mobile applications (collectively, "Service"). By using or accessing the Service, you agree to be bound by these Terms.

Definitions

  • "Account": means an account created by you for use of the Service.
  • "Client Data": means any data or content that you upload, input, submit, or store in connection with your use of the Service, including but not limited to text, images, and other files.
  • "Company": refers to NeuroDev, a project of Gateshead Community Organisation.
  • "Service": means the software as a service product provided by Company.

Use of the Service

  1. You are responsible for maintaining the confidentiality and security of your Account login information, including but not limited to username and password.
  2. You agree not to:
    • Use the Service for any unlawful or unauthorized purpose;
    • Interfere with the functioning of the Service;
    • Infringe on Company's intellectual property rights or those of others;
    • Access or attempt to access another user's Account without permission.

Restricted Uses

You are prohibited from using the Service for the following purposes:

  1. Pre-employment or pre-education screening, including but not limited to background checks or assessments.
  2. Any other purpose that may be considered invasive, harassing, or discriminatory.

Client Data

  1. You retain ownership of Client Data uploaded, input, submitted, or stored through the Service.
  2. Company does not claim any ownership rights in Client Data.
  3. By uploading, inputting, submitting, or storing Client Data, you grant Company a worldwide, non-exclusive license to use, reproduce, modify, and display your Client Data solely for the purpose of providing the Service.

Company Responsibilities

  1. Company will provide the Service with reasonable care and diligence.
  2. Company will maintain commercially reasonable backup and security measures to protect against loss or unauthorized access of Client Data.
  3. Company reserves the right to update, change, or discontinue any aspect of the Service at any time without notice.

Warranty Disclaimer

The Service is provided "as-is" and Company makes no representations or warranties about its functionality, accuracy, or reliability. However, Company strives to provide a high-quality service and will make reasonable efforts to ensure that it meets your needs.

Limitation of Liability

In the event that you experience any errors, losses, or damages in connection with the Service, Company's liability is limited to providing assistance and support to resolve the issue. NeuroDev is not responsible for any indirect, consequential, or punitive damages arising from your use of the Service. However, please note that we will make every effort to minimize any disruptions or losses caused by our actions.

Payment Terms

  1. You are responsible for paying all fees associated with your use of the Service as outlined in NeuroDev's pricing page.
  2. Payment is due upon receipt of invoice and may be made through credit card, bank transfer, or other payment methods accepted by Company.

Data Use Prohibitions

You agree not to:

  1. Sell or resell Client Data obtained from the Service for any purpose;
  2. Share Client Data with third parties for purposes other than those explicitly stated in this Agreement;
  3. Use the Service as a means of training, developing, or deploying artificial intelligence models.

Termination

  1. Company may terminate your Account and access to the Service at any time without notice.
  2. You may cancel your subscription to the Service by providing written notice to NeuroDev.
  3. Upon termination, you agree to immediately cease all use of the Service.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of The United Kingdom of Great Britain.

Changes to These Terms

NeuroDev reserves the right to modify or replace these Terms at any time without notice. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

By using or accessing the Service, you acknowledge that you have read and agree to be bound by these Terms. If you do not agree to these Terms, please do not use or access the Service.
